Strategy case for graduate students and corporate leaders

Decision date: October 2, 2026, 11:59 p.m. ET
Company: Aptiv PLC (NYSE: APTV)

A new company, and a stated payout pace

On April 1, Aptiv completed the spin-off of its Electrical Distribution Systems business into Versigent PLC. Aptiv’s Q2 and first-half reporting presents EDS as discontinued operations for all periods, so the figures below describe continuing Aptiv rather than the old company before separation. [S1; S2]

In August, Aptiv reported Q2 results, its first quarter as “New Aptiv”: continuing revenue was $3.3 billion, up 2%; GAAP net income from continuing operations was $298 million; and company-defined Adjusted EBITDA was $613 million. The regional picture was mixed: revenue grew 10% in North America and 6% in Asia Pacific, while it declined 8% in EMEA and 4% in South America. Management also cited customer mix as a headwind. [S2]

CEO Kevin Clark said the company had achieved double-digit non-automotive revenue growth, moved robotics from partnerships toward a commercial stage, and secured a major drone-market commercial win in early July. Aptiv did not disclose the drone customer or contract economics in the release. A September announcement said a next-generation ADAS smart camera had entered mass production for an unnamed Chinese automaker’s European-market vehicle program. An August NVIDIA announcement described edge-AI platform support and lifecycle services, but not a customer contract. These developments show strategic activity; they do not yet quantify the amount or timing of competing investment needs. [S2; S3; S4]

Clark also said half of Aptiv’s expected cash flow for 2026 had already been allocated to share repurchases, and that the company saw a similar level continuing for the next few years. The statement did not define the cash-flow measure or announce a fixed annual repurchase amount. Aptiv’s Q2 filing describes several possible uses of discretionary cash flow: optional debt prepayment, strategic acquisitions or investments, additional share repurchases, and general corporate purposes. The filing does not rank them or say that one use must displace another. [S1; S2]

The spin dividend and the repurchase authorization

As part of the separation, Versigent paid Aptiv a cash distribution of $1.920 billion. Aptiv said it used the proceeds to redeem debt. The Q2 release identifies $1.847 billion of principal redeemed; the cash-flow statement records $2.054 billion in senior-note repayment cash during H1. Aptiv also transferred $282 million to Versigent in connection with the spin. These figures describe a completed financing sequence, not cash still available for a new decision. [S1; S2]

Aptiv’s July 2024 authorization allows up to $5 billion in share repurchases. The company repurchased $250 million in Q2 and $325 million in the first half. Its 10-Q reported $1.790 billion remaining on June 30; it then disclosed another $46 million of purchases through August 3, leaving $1.744 billion under the program. The August 3 figure is the latest disclosed balance located for this case, not a verified October 2 balance. The program allows open-market and privately negotiated purchases; timing depends on share price, market conditions and other factors. [S1; S2]

Cash generation and financial flexibility

Continuing-operations operating cash flow was $137 million in Q2 and $82 million for the first half. Aptiv defines free cash flow as continuing-operations operating cash flow less capital expenditures. Under that measure, Q2 generated $12 million while H1 was negative $196 million. Aptiv cautions that this measure excludes debt service, dividends and repurchases and does not necessarily represent funds available for discretionary uses. [S1; S2]

For the full year, Aptiv’s August guidance projected $1.270–1.370 billion of continuing-operations cash flow and $625–725 million of free cash flow. Guidance excluded EDS. Management’s phrase “half of expected cash flow” should not automatically be converted into half of this FCF range: the release does not identify the specific denominator. [S2]

At June 30, Aptiv reported $761 million in cash, $4.6 billion of net debt and $3.271 billion in available liquidity. Available liquidity included $1.998 billion in undrawn revolving credit and $512 million of unused European receivables-factoring capacity, subject to eligible receivables. Aptiv said it expected cash, liquidity and operating cash flows to fund operations, restructuring, capital expenditures, debt obligations and separation activity. This is relevant context, but it does not establish that every investment is funded or that Aptiv faces a hard constraint. [S1]

A hypothetical allocation review

For this exercise, assume you advise a hypothetical Aptiv capital-allocation review at the October 2 cutoff. Aptiv has not disclosed this review as an actual process or announced a change to the CEO’s stated repurchase pace. Your task is to recommend how the company should govern discretionary repurchases while continuing to fund its standalone business and evaluating opportunities beyond automotive markets.

Would you maintain the stated repurchase pace, with defined liquidity and investment gates? Make repurchases a rolling residual after operating, debt and approved investment needs? Or temporarily slow discretionary purchases while Aptiv establishes a longer post-spin record and better information about non-automotive opportunities? The approaches can overlap. Do not assume that share repurchases are displacing a particular project, that available liquidity is all cash, or that Aptiv’s shares are undervalued.

Decision exhibit: facts for the review

Topic Public evidence at cutoff What remains open
Share repurchases Up to $5bn authorized in 2024; $325m repurchased H1, another $46m disclosed through Aug. 3; $1.744bn then remained Balance after Aug. 3; planned annual amount; exact execution schedule
Cash generation H1 continuing operating cash flow $82m; Aptiv-defined FCF $(196)m; FY26 FCF guidance $625–725m Cash-flow denominator behind the “half” statement; full-year realized conversion
Spin/debt $1.920bn cash distribution from Versigent; $1.847bn note principal redemption; $2.054bn cash repayment recorded Future debt-paydown priorities and maturities relevant to future allocations
Financial flexibility June 30 cash $761m; net debt $4.6bn; available liquidity $3.271bn, including credit facilities Future accessibility/cost of financing and required operating buffer
Diversification Management cited non-auto growth, robotics commercialization and a drone win; camera reached reported mass production Project-level budgets, expected returns, timing, customer volumes and incremental cash needs

The figures have different definitions and dates. Aptiv’s GAAP measures, company-defined non-GAAP measures, cash, available credit and remaining authorization should be evaluated separately. [S1; S2]

Assignment

Prepare a one-page recommendation that:

  1. Recommends a policy for pacing discretionary repurchases over the next planning period.
  2. Defines two or three measurable gates that could change that pace.
  3. Explains how the company should weigh financial resilience, debt needs and strategic investment without assuming a forced tradeoff.
  4. Names at least three missing facts that could reverse the recommendation.

Use only the information available at the cutoff. Label management claims and forecasts as such, and distinguish continuing operations from discontinued EDS results.
